Interesting story. Facebook's position and the SEC's decision make sense given the intent of the 1934 Act. However, it is unclear how petitioning the SEC for an exemption re: financial disclosures reflects an attempt to keep the company growing. Public and other companies subject to financial disclosure requirements are able to disclose financial results, recruit top talent and make acquisitions. Uniform disclosure (and the requisite accounting) requirements enables arms-length investors, targets and employees to make fact-based decisions, comparisons. What is it about keeping financial results private that provides a hiring or acquisition advantage? Could there be another reason Facebook is determined to keep its financials private?
